Grand Imperial Saigon Hotel Company Limited(hereinafter referred to as “GISH”) has its headquarters located at 101 Hai Ba Trung Street, District 1, Ho Chi Minh City, and is a joint venture established and operating under xem bóng đá trực tiếp trên youtube Law of Vietnam according to xem bóng đá trực tiếp trên youtube Investment license No. 908/GP issued by xem bóng đá trực tiếp trên youtube State Committee for Cooperation and Investment on July 06, 1994, and as amended in 1995, 1997, 2002 and 2005.

According to xem bóng đá trực tiếp trên youtube Investment license and its amendments, participants in GISH JV are:

- Vietnamese party:Saigon Construction Corporation (“SGC”)

- Foreign party,including:

+ United Concord International Ltd(“UCI”) – Representative: Mr. Nguyen Van Hao – Company’s President

+ Radiant Investments Limited(“RI”) – Representative: Mr. Jaya J.B Tan – Company’s President.

According to xem bóng đá trực tiếp trên youtube Certificate No. 1692/KHDT-DN dated April 04, 2006 issued by xem bóng đá trực tiếp trên youtube Department of Planning and Investment of Ho Chi Minh City, Mr.Nguyen Van Haois xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director of GISH.

However, RIL and Mr.Jaya J.B Tanhad planned to illegally change xem bóng đá trực tiếp trên youtube mentioned positions of Mr. Nguyen Van Hao at xem bóng đá trực tiếp trên youtube GISH JV by requesting xem bóng đá trực tiếp trên youtube other participants in xem bóng đá trực tiếp trên youtube joint venture, including xem bóng đá trực tiếp trên youtube foreign party, UCI, and Vietnamese party, SGC, to sign xem bóng đá trực tiếp trên youtube following “Resolutions of xem bóng đá trực tiếp trên youtube Board of Directors”, including:

- xem bóng đá trực tiếp trên youtube written resolution as a substitute for xem bóng đá trực tiếp trên youtube meeting of xem bóng đá trực tiếp trên youtube Board of Directors on xem bóng đá trực tiếp trên youtube amended Company Charter.

- xem bóng đá trực tiếp trên youtube written resolution as a substitute for xem bóng đá trực tiếp trên youtube meeting of xem bóng đá trực tiếp trên youtube Board of Directors on change of xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors.

- xem bóng đá trực tiếp trên youtube written resolution as a substitute for xem bóng đá trực tiếp trên youtube meeting of xem bóng đá trực tiếp trên youtube Board of Directors on change of General Director.

xem bóng đá trực tiếp trên youtube mentioned resolutions all were signed by members of xem bóng đá trực tiếp trên youtube Board of Directors of RIL on August 10, 2006 and by members of xem bóng đá trực tiếp trên youtube Board of Directors of SGC on August 22, 2006.

On September 30, 2006, members of xem bóng đá trực tiếp trên youtube Board of Directors of UCI had declared that all resolutions mentioned above were rejected and invalid.

On October 04, 2006, Mr.Jaya J.B Tanhad impersonated xem bóng đá trực tiếp trên youtube “Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors” and sent written notifications to participants in JV and other members of xem bóng đá trực tiếp trên youtube Board of Director of xem bóng đá trực tiếp trên youtube personnel change and xem bóng đá trực tiếp trên youtube meeting of xem bóng đá trực tiếp trên youtube Board of Directors convened on October 17, 2006 with xem bóng đá trực tiếp trên youtube aims of requesting Mr.Nguyen Van Haoto transfer xem bóng đá trực tiếp trên youtube company’s office, seal and all documents concerning GISH JV to Mr. Jaya J.B Tan and Paul Wong, and making necessary preparations for re-registration of xem bóng đá trực tiếp trên youtube company according to xem bóng đá trực tiếp trên youtube mentioned resolutions.

Because xem bóng đá trực tiếp trên youtube mentioned resolutions all were not approved by members of xem bóng đá trực tiếp trên youtube Board of Directors of UCI according to xem bóng đá trực tiếp trên youtube unanimity rule defined in Article 8.3.1 of xem bóng đá trực tiếp trên youtube GISH’s Charter, they were invalid. Thus, UCI filed a lawsuit against RIL, and requested xem bóng đá trực tiếp trên youtube Court to:

- Cancel or invalidate three resolutions signed by members of xem bóng đá trực tiếp trên youtube Board of Directors representing RIL and SGC on August 10, 2006 and August 22, 2006, including: xem bóng đá trực tiếp trên youtube Resolution on Charter; xem bóng đá trực tiếp trên youtube Resolution on Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors; and xem bóng đá trực tiếp trên youtube Resolution on General Director.

- Cancel or invalidate written notifications signed by Mr. Jaya J.B Tan on October 04, 2006 on change of xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director, and xem bóng đá trực tiếp trên youtube meeting of xem bóng đá trực tiếp trên youtube Board of Directors convened on October 17, 2006.

- xem bóng đá trực tiếp trên youtube defendant rejected all requests of xem bóng đá trực tiếp trên youtube plaintiff.

- + Mr.NGUYEN VAN HAO: He submitted no individual requests but agreed to all opinions and requests of xem bóng đá trực tiếp trên youtube plaintiff. He refused xem bóng đá trực tiếp trên youtube defendant’s request to hand over works to Mr. Jaya J.B Tan and Mr. Paul Wong.

- + SAIGON CONSTRUCTION CORPORATION:SGC did not individually submit requests but believed that xem bóng đá trực tiếp trên youtube mentioned resolutions were lawfully approved according to xem bóng đá trực tiếp trên youtube defendant's statements.

- Mr.JAYA J.B TANand Mr.PAUL WONG: They did not submit individual requests but agreed to all opinions and requests of xem bóng đá trực tiếp trên youtube defendant.

xem bóng đá trực tiếp trên youtube Court attempted reconciliation but failed, all litigants still keep their opinions unchanged.

- Mr.JAYA J.B TANand Mr.PAUL WONG: Do not submit individual requests but both agree to all opinions and requests of xem bóng đá trực tiếp trên youtube defendant.

- Opinions of lawyers protecting rights and benefits of xem bóng đá trực tiếp trên youtube plaintiff:

+ xem bóng đá trực tiếp trên youtube involved parties should defend their rights and benefits on xem bóng đá trực tiếp trên youtube basis of moral standards; when xem bóng đá trực tiếp trên youtube law and morality contradict each other, xem bóng đá trực tiếp trên youtube law should be adjusted.

+ Mr. Nguyen Van Hao has made no errors in running xem bóng đá trực tiếp trên youtube business of xem bóng đá trực tiếp trên youtube joint venture to such an extent that xem bóng đá trực tiếp trên youtube change of xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director must be made. xem bóng đá trực tiếp trên youtube joint venture has explicit financial statements; Mr. Hao has never involved in shady financial affairs.

+ There are reasonable grounds to believe that Mr. Ngo Thanh Tung (RIL’s representative) did not sign xem bóng đá trực tiếp trên youtube resolutions on August 22, 2006 said by xem bóng đá trực tiếp trên youtube defendant.

+ xem bóng đá trực tiếp trên youtube appointment and dismissal of Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director must definitively follow xem bóng đá trực tiếp trên youtube unanimity rule defined in Article 8.3.1 of xem bóng đá trực tiếp trên youtube Joint Venture’s Charter. Provisions in Article 8.3.2 of xem bóng đá trực tiếp trên youtube same only apply to decision on other issues.

+ Moreover, xem bóng đá trực tiếp trên youtube written ballot must also comply with provisions laid down in Article 54 ofLuật xem bóng đá trực tiếp nhà cái nghiệp 2005 Số hiệu 60/2005/QH11. xem bóng đá trực tiếp trên youtube application of this law must follow xem bóng đá trực tiếp trên youtube prescribed road map.

+ xem bóng đá trực tiếp trên youtube defendant quoted xem bóng đá trực tiếp trên youtube English version of xem bóng đá trực tiếp trên youtube Charter that xem bóng đá trực tiếp trên youtube foreign party, Pengkalen, has xem bóng đá trực tiếp trên youtube right to appoint xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors, thus it also has xem bóng đá trực tiếp trên youtube right to discharge xem bóng đá trực tiếp trên youtube holder of xem bóng đá trực tiếp trên youtube mentioned position but pursuant to xem bóng đá trực tiếp trên youtube Law on investment, when xem bóng đá trực tiếp trên youtube English version and xem bóng đá trực tiếp trên youtube Vietnamese version contradict each other, xem bóng đá trực tiếp trên youtube Vietnamese version shall apply.

+ Additionally, GISH has provided commitments not to change xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director of xem bóng đá trực tiếp trên youtube joint venture for sponsor banks.

For xem bóng đá trực tiếp trên youtube foregoing reasons, xem bóng đá trực tiếp trên youtube lawyers protecting rights and benefits of xem bóng đá trực tiếp trên youtube plaintiff request xem bóng đá trực tiếp trên youtube Trial panel to accept xem bóng đá trực tiếp trên youtube plaintiff’s requests, and cancel xem bóng đá trực tiếp trên youtube resolutions approved by members of xem bóng đá trực tiếp trên youtube Board of Directors of RIL and SGC.

- Opinions of lawyers protecting rights and benefits of xem bóng đá trực tiếp trên youtube defendant:

+ xem bóng đá trực tiếp trên youtube regulations replacing xem bóng đá trực tiếp trên youtube voting rule upon xem bóng đá trực tiếp trên youtube change of law laid down in Article 8.3.2 apply to not only xem bóng đá trực tiếp trên youtube decisions mentioned in Article 8.3.2 but also all decisions made by xem bóng đá trực tiếp trên youtube Board of Directors as defined in Article 8.3 (Powers of xem bóng đá trực tiếp trên youtube Board of Directors).

+ Article 8.2.f of xem bóng đá trực tiếp trên youtube Charter provides for specific procedures for approval for written resolutions of xem bóng đá trực tiếp trên youtube Board of Directors, so Article 54 of xem bóng đá trực tiếp trên youtube Law on enterprises in 2005 is not applied.

+ xem bóng đá trực tiếp trên youtube defendant finds that there are no complex issues relating to sponsor banks as stated by xem bóng đá trực tiếp trên youtube plaintiff.

+ Because xem bóng đá trực tiếp trên youtube plaintiff quoted Article 54 of xem bóng đá trực tiếp trên youtube Law on enterprises in 2005, it means that xem bóng đá trực tiếp trên youtube plaintiff admits xem bóng đá trực tiếp trên youtube new law, thus Article 52 of xem bóng đá trực tiếp trên youtube Law on enterprises in 2005 should be applied.

For xem bóng đá trực tiếp trên youtube foregoing reasons, xem bóng đá trực tiếp trên youtube lawyers protecting rights and benefits of xem bóng đá trực tiếp trên youtube defendant request xem bóng đá trực tiếp trên youtube Trial panel to reject xem bóng đá trực tiếp trên youtube plaintiff’s requests, acknowledge xem bóng đá trực tiếp trên youtube legal validity of xem bóng đá trực tiếp trên youtube resolutions approved by members of xem bóng đá trực tiếp trên youtube Board of Directors of RIL and SGC, and force Mr. Nguyen Van Hao to hand over xem bóng đá trực tiếp trên youtube position of xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors to Mr. Jaya J.B Tan and xem bóng đá trực tiếp trên youtube position of General Director to Mr. Paul Wong.

DEEMING THAT

After investigating documents in xem bóng đá trực tiếp trên youtube case file, which have been verified at xem bóng đá trực tiếp trên youtube trial, and based on xem bóng đá trực tiếp trên youtube arguments at xem bóng đá trực tiếp trên youtube trial, xem bóng đá trực tiếp trên youtube Trial panel finds that:

1. Regarding xem bóng đá trực tiếp trên youtube court jurisdiction:

This case is a business and commercial dispute (this is a dispute between xem bóng đá trực tiếp trên youtube company’s members and also a dispute over xem bóng đá trực tiếp trên youtube joint venture contract); xem bóng đá trực tiếp trên youtube contract performance location (also xem bóng đá trực tiếp trên youtube location where xem bóng đá trực tiếp trên youtube headquarters of xem bóng đá trực tiếp trên youtube joint venture whose members involved in xem bóng đá trực tiếp trên youtube dispute is located) is Ho Chi Minh City. xem bóng đá trực tiếp trên youtube plaintiff and other litigants of xem bóng đá trực tiếp trên youtube case all confirmed at xem bóng đá trực tiếp trên youtube trial that no arbitrator is chosen and xem bóng đá trực tiếp trên youtube People’s Court of Ho Chi Minh City shall resolve xem bóng đá trực tiếp trên youtube dispute. Thus, pursuant to Point m Clause 1, Clause 3, Article 29, Article 33, Clause 1 Article 34, Point g Clause 1 Article 36 and Point e Clause 2 Article 410 of xem bóng đá trực tiếp trên youtube Civil Procedure Code, xem bóng đá trực tiếp trên youtube People’s Court of Ho Chi Minh City has xem bóng đá trực tiếp trên youtube jurisdiction to settle this dispute case according to xem bóng đá trực tiếp trên youtube civil procedures.

2.Regarding xem bóng đá trực tiếp trên youtube prescriptive period:

On August 10, 20 and 22, 2006, members representing RIL and SGC in xem bóng đá trực tiếp trên youtube Board of Directors of GISH JV have approved written resolutions replacing xem bóng đá trực tiếp trên youtube meeting of xem bóng đá trực tiếp trên youtube Board of Directors on re-registration of xem bóng đá trực tiếp trên youtube company according to xem bóng đá trực tiếp trên youtube new Law on enterprises, appointment of new Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director. On October 16, 2006, UCI filed a petition requesting xem bóng đá trực tiếp trên youtube Court to cancel xem bóng đá trực tiếp trên youtube mentioned resolutions and written notifications of UCI’s representative (signed on October 04, 2006) of contents of xem bóng đá trực tiếp trên youtube mentioned resolutions.

Pursuant to Point a Clause 3 Article 159 ofxem bóng đá trực tiếp trên youtube Civil Procedure Code, xem bóng đá trực tiếp trên youtube plaintiff filed a petition to xem bóng đá trực tiếp trên youtube Court within xem bóng đá trực tiếp trên youtube prescribed period (2 years from xem bóng đá trực tiếp trên youtube date on which xem bóng đá trực tiếp trên youtube plaintiff’s legitimate rights and benefits are infringed). Thus, xem bóng đá trực tiếp trên youtube case should be accepted and resolved in accordance with applicable laws.

3.Regarding contents of dispute:

a) With regard to xem bóng đá trực tiếp trên youtube plaintiff’s request for cancellation or invalidation of xem bóng đá trực tiếp trên youtube resolutions on re-registration of company under xem bóng đá trực tiếp trên youtube new Law on enterprises, appointment of new Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director, and written notifications of UCI’s representative signed on October 04, 2006 of contents of xem bóng đá trực tiếp trên youtube mentioned resolutions:

xem bóng đá trực tiếp trên youtube plaintiff filed a lawsuit on xem bóng đá trực tiếp trên youtube grounds that xem bóng đá trực tiếp trên youtube unanimity rule must be followed when xem bóng đá trực tiếp trên youtube Board of Directors decides xem bóng đá trực tiếp trên youtube appointment, replacement and dismissal xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director of xem bóng đá trực tiếp trên youtube joint venture as prescribed in Point 1 Clause 8.3 Article 8 (or Article 8.3.1) of xem bóng đá trực tiếp trên youtube Company's Charter. xem bóng đá trực tiếp trên youtube plaintiff believes that xem bóng đá trực tiếp trên youtube unanimity rule is broken (because two members of xem bóng đá trực tiếp trên youtube Board of Directors representing UCI did not give approval) when members of xem bóng đá trực tiếp trên youtube Board of Directors representing RIL and SGC approve xem bóng đá trực tiếp trên youtube mentioned resolutions of xem bóng đá trực tiếp trên youtube Board of Directors. xem bóng đá trực tiếp trên youtube plaintiff also believes that RIL is not capable of representing xem bóng đá trực tiếp trên youtube “Foreign party” to dismiss Mr. Nguyen Van Hao from xem bóng đá trực tiếp trên youtube position of xem bóng đá trực tiếp trên youtube Chairperson of xem bóng đá trực tiếp trên youtube Board of Directors and General Director as per Article 8.1(c) and Article 9.1(d) of xem bóng đá trực tiếp trên youtube Charter. Thus, in consideration of either xem bóng đá trực tiếp trên youtube number of members of xem bóng đá trực tiếp trên youtube Board of Directors as regulated in xem bóng đá trực tiếp trên youtube Law on foreign investments in Vietnam or xem bóng đá trực tiếp trên youtube contributed capital of members of total charter capital of xem bóng đá trực tiếp trên youtube joint venture (limited liability company) as regulated in xem bóng đá trực tiếp trên youtube Law on enterprises in 2005, xem bóng đá trực tiếp trên youtube mentioned resolutions have been lawfully approved by xem bóng đá trực tiếp trên youtube Board of Directors of GISH under xem bóng đá trực tiếp trên youtube majority rule (8/10 members and 81% of xem bóng đá trực tiếp trên youtube charter capital).

+ Firstly, based on xem bóng đá trực tiếp trên youtube outline of Article 8.3 of xem bóng đá trực tiếp trên youtube Charter (and Article 14.2 of xem bóng đá trực tiếp trên youtube joint venture contract), xem bóng đá trực tiếp trên youtube agreement on replacement of voting rule deals with any changes in laws in respect of power of xem bóng đá trực tiếp trên youtube Board of Directors, so it also deals with any decisions of xem bóng đá trực tiếp trên youtube Board of Directors specified in Article 8.3 (including 8.3.1 and 8.3.2) because xem bóng đá trực tiếp trên youtube heading of Article 8.3 is “Powers of xem bóng đá trực tiếp trên youtube Board of Directors”.
