1. Regulations on authorization in Vietnam

According to Article 135 of bóng đá hôm nay trực tiếptrực tiếp bóng đá, bóng đá hôm nay trực tiếp grounds for establishing bóng đá hôm nay trực tiếp right of representation are as follows:

Article 135. Basis for establishment of representation rights

Representation rights shall be established according to a power of attorney between a principal and a representative (hereinafter referred to as authorized representation); according to a decision of a competent authority, a charter of a juridical person or as prescribed by law (hereinafter referred to as legal representation).

Thus, authorization is one of two forms to establish bóng đá hôm nay trực tiếp right of representation.

According to Article 138 of bóng đá hôm nay trực tiếp 2015 Civil Code, bóng đá hôm nay trực tiếp authorized representatives are prescribed as follows:

Article 138. Authorized representatives

According to Article 141 of bóng đá hôm nay trực tiếp 2015 Civil Code, bóng đá hôm nay trực tiếp scope of representation is as follows:

Article 141. Scope of representation

Each representative may only enter into and/or perform civil transactions within his/her scope of representation according to any of bóng đá hôm nay trực tiếp following bases:

a) bóng đá hôm nay trực tiếp decision of bóng đá hôm nay trực tiếp competent authority;

b) bóng đá hôm nay trực tiếp charter of bóng đá hôm nay trực tiếp juridical person;

c) Contents of authorization;

d) Other regulations as prescribed by law.

If it fails to determine bóng đá hôm nay trực tiếp specific scope authorization prescribed in Clause 1 of this Article, bóng đá hôm nay trực tiếp legal representative has bóng đá hôm nay trực tiếp right to enter into and perform all civil transactions in bóng đá hôm nay trực tiếp interests of bóng đá hôm nay trực tiếp principal, unless otherwise prescribed by law.

A natural or juridical person may represent multiple natural or juridical persons but he/she/it may not, on behalf of bóng đá hôm nay trực tiếp principal, enter into and perform a civil transaction with him/her/it or with a third party that he/she/it also acts as a representative therefor, unless otherwise prescribed by law.

So, if bóng đá hôm nay trực tiếp two parties agree to sell land to another person in bóng đá hôm nay trực tiếp authorization, bóng đá hôm nay trực tiếp authorized person has grounds to sell bóng đá hôm nay trực tiếp land to another person without bóng đá hôm nay trực tiếp authorization of bóng đá hôm nay trực tiếp principal.

On bóng đá hôm nay trực tiếp contrary, if bóng đá hôm nay trực tiếp two parties do not specifically agree on bóng đá hôm nay trực tiếp sale of land to another person in bóng đá hôm nay trực tiếp content of bóng đá hôm nay trực tiếp authorization, bóng đá hôm nay trực tiếp authorized person needs to obtain bóng đá hôm nay trực tiếp consent of bóng đá hôm nay trực tiếp principal before selling bóng đá hôm nay trực tiếp land to another person.

3. What are bóng đá hôm nay trực tiếp consequences of civil transactions entered into and performed by representatives beyond scope of representation?

According to Article 143 of bóng đá hôm nay trực tiếp Civil Code 2015, bóng đá hôm nay trực tiếp consequences of civil transactions entered into and performed by representatives beyond scope of representation are specified as follows:

Article 143. Consequences of civil transactions entered into and performed by representatives beyond scope of representation

A civil transaction entered into and performed by a representative beyond his or her scope of representation shall not give rise to rights and obligations of bóng đá hôm nay trực tiếp principal with respect to that part of bóng đá hôm nay trực tiếp transaction which exceeded bóng đá hôm nay trực tiếp scope of representation, except for any of bóng đá hôm nay trực tiếp following cases:

a) bóng đá hôm nay trực tiếp principal gives consent;

b) bóng đá hôm nay trực tiếp principal knows it without any objection within an appropriate time limit;

c) It is bóng đá hôm nay trực tiếp principal's fault that bóng đá hôm nay trực tiếp other party does not know or is not able to know that bóng đá hôm nay trực tiếp person entering into and performing bóng đá hôm nay trực tiếp civil transaction therewith was beyond his/her scope of representation.

If a civil transaction entered into and performed by a representative beyond his/her scope of representation does not give rise to rights and obligations of bóng đá hôm nay trực tiếp principal with respect to that part of bóng đá hôm nay trực tiếp transaction, bóng đá hôm nay trực tiếp representative must fulfill bóng đá hôm nay trực tiếp obligations owning to bóng đá hôm nay trực tiếp person with which he/she transacted in respect of bóng đá hôm nay trực tiếp part of transaction which is beyond bóng đá hôm nay trực tiếp scope of representation, unless such person knew or should have known that bóng đá hôm nay trực tiếp scope of representation was exceeded.

A person having transacted with such representative has bóng đá hôm nay trực tiếp right to terminate unilaterally bóng đá hôm nay trực tiếp performance of or to terminate bóng đá hôm nay trực tiếp civil transaction with respect to that part which is beyond bóng đá hôm nay trực tiếp scope of representation or with respect to bóng đá hôm nay trực tiếp entire transaction and to demand compensation for any damage, except where such person knew or should have known that bóng đá hôm nay trực tiếp scope of representation was exceeded or bóng đá hôm nay trực tiếp case prescribed in Point a Clause 1 of this Article.

Where a person and a representative enter into and perform a civil transaction deliberately beyond bóng đá hôm nay trực tiếp scope of representation of bóng đá hôm nay trực tiếp representative and thereby cause damage to bóng đá hôm nay trực tiếp principal, they shall be jointly liable to compensate for bóng đá hôm nay trực tiếp damage.

Thus, for bóng đá hôm nay trực tiếp transaction of arbitrarily selling land beyond bóng đá hôm nay trực tiếp scope of representation, bóng đá hôm nay trực tiếp transaction between bóng đá hôm nay trực tiếp authorized person and bóng đá hôm nay trực tiếp third party will automatically be invalidated. In addition, bóng đá hôm nay trực tiếp authorized person is liable and responsible for performing bóng đá hôm nay trực tiếp obligations to bóng đá hôm nay trực tiếp third party unless bóng đá hôm nay trực tiếp third party knew or ought to have known about exceeding bóng đá hôm nay trực tiếp scope of representation and still executes bóng đá hôm nay trực tiếp transaction.
